Chelsea skipper Terry claimed this week that Everton defender John Stones would be a good signing and could even replace him in the future.
But
the Toffees boss is angry with the former England star for speaking
publicly about his player after Gary Cahill also talked him up recently.
The champions have had a £26m bid for Stones rejected.
But Martinez is unhappy with Jose Mourinho's men and said: "It is wrong.
"You
know that is illegal, the rules doesn't allow you to comment on players
that are registered at other clubs in that open manner.
"We
all know there are rules and regulations and it is something we don't
want to see when other clubs speak about your players. It is wrong and
it shouldn't happen."
Everton paid Chelsea £28m last summer to sign striker Romelu Lukaku.
But that relationship is deteriorating with Chelsea's public pursuit of 21-year-old Stones.
Martinez would not reveal if he plans to complain to the Premier League or FA.

He said: "We have had one or two bids for a player who in my eyes for someone who potentially can be the best centre half England have produced, and we have not accepted it. There is no deal on the table so move on.
"He is not for sale, we have said that many times, he is not for sale.
"I am not stupid enough to say I know what will happen, or that I have a crystal ball but I have always said John Stones is not for sale."
Martinez admits Stones has been affected by Chelsea's interest ahead of tomorrow's Premier League opener against Watford.
"It is something where you hope you learn from it and you get more mature," he said.
Everton are currently in contract talks with James McCarthy and Kevin Mirallas.
The Toffees are keen to have both midfielders to put pen to paper and fight off interest for two of their star men.
